Changepoint Corporation Announces Spin-Off of involv Product Line to Further Develop IT Businesses.

TORONTO--(BUSINESS WIRE)--Jan. 8, 1999--

New structural revisions to benefit customers, enable the two

companies to focus on core business

Changepoint Corporation, the leader in front office software for IT businesses, today announced an organizational restructuring to better serve an ambitious schedule set for 1999.

Company officials confirmed that the company's IT business management software product line now will function independently of the Internet/intranet teamware product line, involv, with each organization operating under separate management.

Effective immediately, Changepoint Corporation will be dedicated entirely to the business of developing and marketing the company's IT business management software now renamed Changepoint, The Front Office for IT (TM) (previously named REMIND). Changepoint's solution integrates critical front office operations in its target markets such as strategy management, client/customer management, service delivery management, financial management, development and support. Newly created involv Corporation will focus on the highly successful involv teamware Internet/intranet product that allows users to better communicate and collaborate on virtually any group effort.

Gerry Smith will continue as President and CEO of Changepoint Corporation while Michael J. Cannata has been selected to serve as President and CEO of involv Corporation. Previous to his appointment, Cannata served as President of systems management software company, Cybermation Inc.

"This move allows each organization to devote full attention to their respective products and markets which, in turn, will greatly benefit our customers," said Gerry Smith, President and CEO of Changepoint Corporation.

"Individual company management will grant both the Changepoint and involv product lines the attention required to manage the expected growth we foresee in 1999," Smith continued. "This move puts us in a better position to more explicitly concentrate on individual market needs and trends."

"The creation of involv Corporation allows us to be dedicated to our vision," added Michael J. Cannata, President and CEO of involv Corporation. "Our vision is to provide unique competitive advantages and measurable business to our clients by developing the best industry-specific intranet and extranet communities using our leading web-based teamware products."
